PRM Limitations of Liability

Limitation of Liability and Performance Disclaimer
 

Product Recovery Management, Inc. (“PRM”), including its trade names such as “PRM Filtration,” “Spartox,”  “Falco,” and others as referenced in our proposals or websites, designs and manufactures treatment systems based on the information and specifications provided by our clients. PRM is not the Engineer of Record for any project. Clients acknowledge and agree that PRM is not responsible for the overall engineering and compliance aspects of any project. It is the client’s responsibility to engage qualified designers or engineers who are fully accountable for meeting all regulatory and compliance requirements.

Clients are solely responsible for providing all relevant technical information, including but not limited to contaminant levels, cross-contaminants, and any potential interfering compounds that may impact the treatment system’s performance. PRM does not guarantee process performance unless explicitly stated as a “Performance Guarantee” in the proposal, which must be clearly documented and mutually agreed upon in writing.

PRM systems include logic controls, which may be standard or modified at the client’s request. It is the client’s responsibility to thoroughly test all system logic and safety aspects on-site. PRM is not liable for any damages resulting from control logic failures. By contracting with PRM to build a control system, whether standalone or part of a larger system, the client accepts the possibility of control hardware failure. If backup systems or equipment are necessary, it is the client’s responsibility to identify this need and ensure proper implementation during system testing. Any changes to system logic, whether requested by PRM or others, require a comprehensive re-evaluation of the logic and operations after modifications are made. If additional changes are needed, the client is responsible for ensuring that the required work is completed.

In the absence of a “Performance Guarantee,” PRM shall not be held liable for any failure to meet treatment objectives due to inaccurate, incomplete, or undisclosed information provided by the client, including the presence of unidentified or unexpected contaminants. Clients conducting business with PRM must carry appropriate Errors and Omissions Insurance to protect against any regulatory or economic impacts that may affect their projects. PRM will not be held responsible for such issues if they arise.
